1. Agreement
These Terms & Conditions ("Terms") form a binding agreement between Served Sites ("we", "us", "our") and the individual or business ("you", "Client") that purchases, accesses, or otherwise uses our website design, hosting, maintenance, content, or related services (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Services
We provide custom restaurant website design, hosting, ongoing maintenance, content updates, and optional integrations such as online ordering or reservations. Specific deliverables, turnaround times, and integrations are described on our site or in a written proposal accepted by you.
3. Fees, Billing, and Term
Plans are billed month-to-month unless otherwise stated. Fees are charged in advance via the payment method on file and are non-refundable except where required by law. You authorize us (and our payment processor) to charge that method on a recurring basis until you cancel. Failure to pay may result in suspension of the Services after reasonable notice.
4. Cancellation
You may cancel at any time, effective at the end of your current billing period, by emailing servedsites@gmail.com. We do not prorate partial months. Upon cancellation, we will work in good faith to hand off your domain, content, and any reasonably portable assets you own.
5. Client Content and License
You retain ownership of all menu, photo, logo, and other content you provide ("Client Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, modify, and display Client Content solely to provide the Services. You represent that you have all rights necessary to provide the Client Content and that it does not infringe any third party's rights.
6. Our Work Product
Subject to full payment of fees due, we grant you a perpetual, non-exclusive license to use the final website design and code produced specifically for you. We retain ownership of underlying tools, templates, frameworks, and know-how, and may reuse non-confidential learnings on other projects.
7. Acceptable Use
You agree not to use the Services to publish unlawful, infringing, deceptive, harassing, or harmful content; to send spam; to attempt to gain unauthorized access to systems; or to violate any applicable law or third-party right. We may remove content or suspend the Services if we reasonably believe this section has been violated.
8. Third-Party Services
The Services may integrate with third-party providers (for example, payment processors, online ordering platforms, analytics, or email). Those providers are governed by their own terms and privacy policies, and we are not responsible for their acts or omissions.
9. Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE FEES YOU PAID US IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY.
11. Indemnification
You agree to defend, indemnify, and hold us harmless from any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Client Content, your use of the Services, or your breach of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction there.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date and, where appropriate, communicated to you by email. Your continued use of the Services after the effective date constitutes acceptance.
